Terms & Conditions

By visiting, registering, accessing, downloading, or using the Platform, you agree to be legally bound by these Terms. If you do not agree to these Terms in their entirety, you must immediately cease all access to the Platform.

Pocketwise Technologies Private Limited operates Aarthik AI as a digital platform enabling Users to:

1. Discover, evaluate, and subscribe to model portfolios/baskets created by independent SEBI-registered Research Analysts (“RAs”).
2. Connect their existing trading and demat accounts with supported third-party brokers (including Zerodha, Dhan, Angel One, and others) to transmit order instructions for execution.
3. Access analytical metrics, research rationales, and verified historical performance summaries compiled by registered RAs.

The Company does not act as an investment adviser, research analyst, or stockbroker. The Company does not hold custody of funds or securities, does not guarantee any minimum return, and does not participate in profit-sharing arrangements.

By opening an account or using the Platform, you represent and warrant that:

• You are an individual at least 18 years of age and competent to enter into a legally binding contract under the Indian Contract Act, 1872.
• You are a resident of India for tax and legal purposes, or otherwise legally authorized under the Foreign Exchange Management Act (FEMA), 1999, to invest in Indian securities. Users residing in the United States of America or Canada are strictly restricted from transacting on this Platform.
• All investments made by you are funded through legitimate, traceable banking channels and do not originate from any proceeds of crime or violate the Prevention of Money Laundering Act (PMLA), 2002.
• You acknowledge that all investment decisions are taken at your sole discretion, evaluating your personal financial situation and risk appetite.

• Free and paid tiers: Research Analysts may offer their model portfolios on a free access basis or via paid subscription plans (monthly, quarterly, annual).
• Payment processing: All payments on the Platform are processed securely through our authorized payment gateway partner, Razorpay Software Private Limited (“Razorpay”). The Company does not store complete credit/debit card numbers or CVVs on its servers. Tokenization and payment execution comply with RBI guidelines and PCI-DSS standards.
• Collection & remittance: The Company acts as a collection facilitator for subscription fees on behalf of the registered RAs, deducting Platform technology fees and remitting the research fees to the respective RAs.
• Strict non-refundable policy: All subscription fees paid for accessing paid model portfolios or research services are strictly non-refundable. Once access to an RA's research, constituent weightages, or rebalance updates has been granted, no refunds (full or partial) will be issued under any circumstances. Users are advised to review all factsheets, past performance reports, and risk disclosures prior to completing payment.

• To access the features of the Platform, you must authenticate using your mobile number, OTP verification, and/or single sign-on via Google Authentication.
• You are exclusively responsible for maintaining the confidentiality of your credentials, device access, and any activities conducted through your account.
• You must immediately notify the Company at support@aarthik.ai if you discover or suspect any unauthorized access, breach of security, or compromised credentials.

You agree that you will not:

• Reproduce, duplicate, copy, sell, scrape, reverse-engineer, decompile, or commercially exploit any software, code, portfolio weights, or research reports obtained from Aarthik AI.
• Re-distribute, broadcast, publish, or share research recommendations or model portfolio constitutions with third parties or on public forums (e.g., Telegram, WhatsApp, social media).
• Impersonate any entity, provide false KYC/PAN details, or use bank accounts belonging to third parties.
• Utilize automated bots, spiders, crawlers, or scrapers to access the Platform or extract data.
• Act as an unregistered investment adviser or research analyst using the Platform's materials.

All trademarks, logos, service marks, platform design, algorithms, website code, graphical interfaces, text, and proprietary tools published on Aarthik AI are the exclusive intellectual property of Pocketwise Technologies Private Limited or its content licensors. Model portfolio names, research branding, and analyst marks belong to the respective SEBI-registered RAs. Nothing in these Terms grants you any right, title, or license to use any corporate intellectual property without prior written consent.

• The Platform, its services, and all content are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory.
• The Company disclaims all liability for any direct, indirect, incidental, punitive, or consequential losses, including lost profits, capital losses, slippage, order failures, or trading losses arising from reliance on research reports, model portfolios, or broker execution delays.
• The Company is not responsible for any downtime, technical glitches, or service interruptions caused by third-party infrastructure (e.g., Amazon Web Services, Razorpay, connected stockbrokers, telecom providers, or exchange servers).

You agree to defend, indemnify, and hold harmless Pocketwise Technologies Private Limited, its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of:

1. Your breach of these Terms or applicable laws.
2. Any unauthorized trading or sharing of research recommendations from your account.
3. Any dispute arising directly between you and your stockbroker, payment gateway, or the subscribing Research Analyst.

• Governing law: These Terms and any dispute arising out of or related to the Platform shall be governed by, and construed in accordance with, the laws of the Republic of India.
• Exclusive jurisdiction: The courts located in Surat, Gujarat, India, shall have exclusive territorial and subject-matter jurisdiction over all disputes, suits, or proceedings arising out of or in connection with these Terms.
• Contractual limitation period: Notwithstanding any statutory law to the contrary, any claim, grievance, or cause of action arising out of or related to the use of the Platform or these Terms must be filed within three (3) months after such claim or cause of action arose; otherwise, it shall be permanently barred.
